1. Who we are
FreelanceKH (“we”, “us”, “the platform”) operates an online marketplace where independent professionals (“freelancers”) can discover work posted by businesses and individuals (“clients”), submit proposals, communicate, and collaborate. We are not a party to the contract you form with another user for a specific project; we provide tools, hosting, and platform services.
2. Accepting these terms
By creating an account, checking the acceptance box at sign-up, or continuing to use the service, you agree to these Terms of Use and our Privacy Policy. If you do not agree, do not use FreelanceKH.
You must be legally able to enter a binding agreement in your jurisdiction. If you use the platform on behalf of an organisation, you represent that you have authority to bind that organisation.
3. Accounts and roles
You may register as a client, a freelancer, or both. Accounts must use accurate information and a valid email address. You are responsible for safeguarding your password and for activity under your account.
We may offer administrative or support accounts separately; those accounts are subject to additional internal rules.
We may suspend, restrict, or close accounts that violate these terms, pose a security risk, or harm other users or the platform.
4. The marketplace
Projects and proposals. Clients may publish project listings. Freelancers may submit proposals (including pricing, timelines, milestones, and attachments where the product allows). Nothing on the platform guarantees that a project will receive proposals, or that a proposal will be accepted.
Hiring and delivery. When a client accepts a proposal, you are responsible for performing or receiving the work as agreed between you and the other party. The platform may provide workflow features (for example, marking work complete or leaving feedback); those features help you coordinate but do not replace your agreement.
Reviews. Where the product allows ratings or written feedback after a job, you agree to provide honest information and not to abuse the review system.
5. Platform balance and fees
FreelanceKH may maintain a USD-denominated platform balance (credit) on your account. Certain actions—such as submitting or updating proposals, or other usage described in the product—may incur platform fees that debit this balance. Features and fee amounts may change; we will reflect current behaviour in the application and, where appropriate, in billing or help screens.
The platform balance is not a bank account, not deposit insurance, and not a stored-value instrument regulated like e-money unless we say otherwise in a separate agreement. Card payments, payouts, and extended billing features may be introduced over time; until then, credits may come from promotions, manual adjustments, or other flows described in the app.
You are responsible for maintaining sufficient balance when required to use a paid action. If an action fails for insufficient balance, you may need to add credit through supported channels (when available) or contact support.
6. Messaging, files, and content
You may upload profile images, portfolio items, project attachments, and messages. You retain ownership of your content, but you grant us a licence to host, display, and process it as needed to run the service (including security scanning and backups).
You must not upload malware, illegal material, or content that infringes someone else’s rights. We may remove content or limit sharing where required by law or these terms.
Public promotional placements or banners may appear on some pages; third-party advertisers are responsible for their own creatives.
7. Acceptable use
You agree not to:
- Circumvent fees or billing controls, or use the platform mainly to move payments off-platform to avoid legitimate charges;
- Harass, discriminate against, or defraud other users;
- Scrape, overload, or attack our systems, or reverse engineer except where the law forbids that restriction;
- Misrepresent your identity, skills, or authorisation;
- Use FreelanceKH for unlawful services or in violation of sanctions or export rules that apply to you.
8. Intellectual property
The FreelanceKH name, logo, software, and documentation are protected. Except for your own content, you may not copy or exploit our materials without permission. As between you and another user, ownership of deliverables from a project is governed by your separate agreement with that user.
9. Disclaimers
The service is provided “as is” to the extent permitted by law. We do not endorse any user, project, or proposal. We do not guarantee uninterrupted or error-free operation, or that the platform will meet every business outcome you expect.
10. Limitation of liability
To the maximum extent permitted by applicable law, FreelanceKH and its team are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the platform or dealings with other users.
Our total liability for any claim relating to the service in a twelve-month period is limited to the greater of (a) the platform fees you paid to us in that period, or (b) fifty US dollars (USD 50), except where the law requires otherwise.
11. Indemnity
You will defend and indemnify FreelanceKH against claims brought by third parties that arise from your content, your projects, your breach of these terms, or your violation of law—except to the extent caused by our wilful misconduct.
12. Termination
You may stop using the service at any time. We may suspend or terminate access for breach of these terms, risk, or operational reasons. Provisions that by their nature should survive (including liability limits, indemnity, and governing law) will survive termination.
13. Changes
We may update these terms. We will post the new version on this page and update the “Last updated” date. Continued use after changes become effective constitutes acceptance. If you do not agree, you should close your account and stop using the service.
14. Governing law
These terms are governed by the laws of the Kingdom of Cambodia, without regard to conflict-of-law rules, unless mandatory consumer protections in your country say otherwise.
